FORMATION OF CONTRACT

These conditions together with the particulars specified overleaf are expressly incorporated as terms of any contract of sale which we may make, and our acceptance of any order is strictly subject to them. No purported term or condition introduced by the purchaser which is inconsistent with any of these terms and conditions shall have any effect and these terms and conditions shall in all circumstances prevail.

LEGAL CONSTRUCTION

The construction and operation of this contract and of any contract between ICA Solutions Ltd and the purchaser is to be construed and governed in all respects in accordance with English law, failure to enforce any particular clause is not taken as a waiver of any other clause.

CANCELLATION OF ORDERS

Cancellation of orders will not be accepted without prior agreement in writing from ICA Solutions Ltd. In the event of orders being cancelled we reserve the right to apply cancellation charges, and to reclaim any costs directly or indirectly incurred.

DELIVERY/COMPLETION OF ORDER

Every effort will be made to comply with delivery or completion dates requested by the purchaser or quoted by ICA Solutions Ltd but we accept no liability for, or arising out of any failure to do so.
If delivery of goods is to be made other than by us we must be notified of non- delivery within 7 days of the date of the invoice for the goods concerned. No liability will be accepted in respect of damage for any deliveries unless written notification is received by ICA Solutions Ltd within 7 days of receipt of goods. Liability in respect of any such claim shall not exceed the replacement of the defective or incorrect goods, or making good the shortage free of charge or at our discretion refunding the price paid for the goods.

PENALTY CLAUSES

Penalty clauses on customers orders and contracts cannot be accepted unless a specific undertaking in writing is secured from ICA Solutions Ltd covering each order or contract concerned.

OWNERSHIP OF GOODS

All goods remain the property of ICA Solutions Ltd until all sums due from the customer whether or not in respect of such goods have been paid in full. The customer shall be entitled to use or sell such goods or services in the ordinary course of his business(but not as agent for or otherwise on behalf of ICA Solutions Ltd) In the event of his so doing, the customer shall hold upon trust for ICA Solutions Ltd such part of the proceeds as may be required to satisfy all sums due to the seller as aforesaid. If the customer shall make default in any of these conditions, or if any distress or execution shall be levied upon the customers property, or if the customer shall make any arrangements with creditors, or commit any act of bankruptcy, or being a limited company any resolution or petition to wind-up such company shall be passed or presented, or if any receiver shall be appointed in respect of such customers undertaking, property or assets then the seller shall have the right to determine all or any contracts with the customer without notice, and the customers aforesaid rights to goods which remain the property of the seller shall cease, and the seller shall be entitled to immediate possession of all goods remaining in the custody or under the control of the customer, and shall further be entitled to enter upon the customers premises to recover the same.

FORCE MAJEURE

In the case of circumstances beyond our control, including strike, riot, fire, breakdown of machinery, act of god, acts of government or other authority, we reserve the right to cancel or suspend our contract with the customer without thereby incurring any liability whatsoever.

REFUSAL OF GOODS

If for any reason the customer is unable or refuses to accept delivery of the goods at the contracted time we reserve the right to charge any costs incurred for storage, additional handling and transport costs.

PAYMENT

All accounts must be paid not later than 30 days from date of invoice. The seller reserves the right to suspend delivery where payment is not received in accordance with the above or in accordance with any alternative arrangement which shall be agreed in writing between the two parties. ICA Solutions Ltd reserve the right to charge interest on overdue accounts at the rate of 2 percent per week to run from the date due for payment until the full amount has been paid.
